This role serves as a trusted advisor to executive leadership and partners across the enterprise to enable growth, manage risk, strengthen governance controls, and build scalable, high-performing legal operations.<br>This role reports to the General Counsel and is accountable for leadership of major workstreams, cross-functional risk governance, and development of talent and standards across the supported legal domains.<h2></h2><h2><span class="emphasis-3">Position</span></h2>Deputy General Counsel- Commercial, Sourcing, Privacy & Corporate Governance<h2></h2><h2><span class="emphasis-3">Location</span></h2>USA, Louisville, KY<p style="text-align:inherit"></p><p style="text-align:inherit"></p><h2><span class="emphasis-3">How You'll Create Possibilities</span></h2><p><b>Enterprise Leadership & Legal Strategy</b></p><ul><li>Establish the legal strategy, priorities, and service model for commercial, sourcing, privacy, and governance support, aligning resources to enterprise objectives, business enablement, and risk appetite.</li><li>Serve as a key advisor to executive leadership on complex, high-impact matters, including strategic partnerships, new product/market launches, and significant supplier initiatives.</li><li>Lead cross-functional risk governance for enterprise, including escalation protocols, decision rights, and oversight mechanisms.</li><li>Drive consistent standards for legal quality, responsiveness, and business enablement through playbooks, templates, training, and metrics.</li></ul><p><b>Commercial, Marketing & Product Counsel (Senior Ownership)</b></p><ul><li>Provide senior-level counseling for commercial and marketing initiatives, including go-to-market strategy, channel programs, and customer-facing terms.</li><li>Oversee complex commercial negotiations, lead resolution of high-stakes disputes and claims pre-litigation in partnership with litigation counsel as needed.</li><li>Provide oversight for advertising/marketing law and consumer protection risk, including review of key campaigns and substantiation of significant claims.</li></ul><p></p><p><b>Global Sourcing, Supplier Relationships & Supply Chain Risk</b></p><ul><li>Oversee legal strategy for global sourcing of commodities, parts, and sourced finished goods, including negotiation posture, risk allocation, and governance for supplier relationships.</li><li>Serve as senior legal advisor for key supplier negotiations, joint ventures, and intra-company sourcing arrangements.</li><li>Partner with business functions to identify and mitigate supply chain legal risks and implement scalable contracting solutions.</li><li>Develop and oversee sourcing contracting governance, including approvals, delegation controls, and contractual risk reviews for material transactions.</li></ul><p><b>Privacy, Data Governance & Technology Risk (Senior Ownership)</b></p><ul><li>Oversee the enterprise privacy legal agenda for products, marketing programs, websites, customer data, and employee data—embedding privacy-by-design, data minimization, and accountable data use into business processes.</li><li>Oversee data governance and privacy compliance frameworks, including policies, notices, consent mechanisms, records of processing, training, and monitoring aligned with applicable laws and company expectations.</li></ul><p><b>Corporate Governance Support </b></p><ul><li>Support corporate governance activities, including governance frameworks, delegations of authority, policy governance, and management-level governance committees as assigned.</li><li>Partner with Compliance and enterprise stakeholders to strengthen governance controls and ensure effective implementation of policies and risk management practices.</li><li>Provide governance support for growth initiatives (e.g., acquisitions, investments, strategic alliances), ensuring appropriate diligence, approvals, and risk governance checkpoints.</li></ul><p><b>People Leadership, Budget & Outside Counsel Management</b></p><ul><li>Lead and develop a team of attorneys and/or legal professionals; set priorities, coach performance, and build succession plans for critical capabilities.</li><li>Own resourcing strategy for supported domains, including workload balancing, role design, and, where applicable, budget planning and outside counsel spend management.</li></ul><p style="text-align:inherit"></p><p style="text-align:inherit"></p><h2><span class="emphasis-3">What You'll Bring to Our Team</span></h2><ul><li>Juris Doctor (JD) from an accredited law school; active bar membership in good standing in any U.S. state.</li><li>12+ years of relevant legal experience (law firm and/or corporate legal department), with deep experience in commercial contracting and sourcing/procurement support.</li><li>Demonstrated leadership in privacy and data governance, including advising on privacy compliance programs and negotiating complex data-related contract terms.</li><li>Strong corporate governance acumen and experience operationalizing governance controls, delegations, and risk management processes.</li><li>Proven people leadership skills in a matrixed environment, including developing talent, leading through influence, and delivering outcomes across diverse stakeholders.</li><li>Excellent written and verbal communication skills; strong judgment, executive presence, and the ability to translate legal requirements into practical, business-focused guidance.</li><li>Commitment to high-integrity conduct and alignment with company values, including expectations that may exceed baseline legal compliance.</li></ul><p><b>Preferred Qualifications</b></p><ul><li>Experience supporting mergers and acquisitions, strategic partnerships, or other growth initiatives.</li><li>International commercial and/or procurement experience, including cross-border contracting and global trade considerations.</li><li>Experience leading or advising on cybersecurity incident response and crisis management.</li><li>Experience in a consumer products, connected products, or major manufacturing environment.</li></ul><p style="text-align:inherit"></p><p style="text-align:inherit"></p><h2><span class="emphasis-3"><b>Our Culture</b></span></h2><p style="text-align:left"><span>Our work is centered on our People and Culture as reflected in our Zero Distance philosophy and we recognize the importance of reaffirming our commitment to inclusion and diversity (I&D).
